Eco — Terms and Conditions

1. Service Overview

1.1 Product Description

Eco is a high-privilege, adaptive desktop and browser assistant for Windows. Eco is designed to accept a user task (a prompt), sense the local environment, locate and parse data, and use built-in tools (OCR, VLM, command execution, file I/O, parsing, metadata inspection, embedded code tools, and similar capabilities) together with external language/vision models to perform actions that accomplish the user's goal.

Eco can read, create, rename, move, copy, modify, and delete files (deletions go to the system Trash/Recycle Bin where possible), navigate directories, interact with browsers and web content, launch or close processes, extract and parse documents, and perform automated sequences of actions. Eco is adaptive: it is built to interpret goals and select the tools and steps it believes are required to complete them. As a result, it may intentionally or unintentionally access data beyond the immediate scope of the specified task.

1.2 Service Provider

This service is provided by Manuel Cabanzo, an individual developer operating from Colombia. The Developer operates as a sole individual (not a registered company or corporation). The Developer may form a legal entity in the future.

1.3 International Service Provision & Target Market

Eco is provided from Colombia and is intended primarily for users in the United States. By subscribing, you represent that you are:

  • At least 18 years of age (or the age of majority in your jurisdiction)
  • Located in or a resident of the United States
  • Entering into this agreement in your individual capacity

Users outside the United States may use Eco but acknowledge that the service is designed for and governed by US law, and that local consumer protection laws may not apply.

The Developer does not specifically target or market to users in the European Union, United Kingdom, or other jurisdictions with complex data protection regimes. Users in such jurisdictions use Eco at their own discretion and acknowledge that Eco may not comply with local data protection regulations.

1.4 Export Compliance

Eco may be subject to US export control laws. By using Eco, you represent that you are not located in, under the control of, or a national or resident of any country subject to US embargo, and that you are not on any US government list of prohibited or restricted parties.

2. Experimental Nature, Behavior & Consent

2.1 Experimental Software

Eco is highly experimental. It has been designed to act autonomously to achieve user-defined goals. It may behave unpredictably, make mistakes, or interpret a goal differently than you intended. Eco's adaptive design means it may do more or less than what you explicitly requested to complete a goal.

2.2 Broad Permission & Consent

By installing and using Eco you explicitly grant Eco permission to access, read, analyze, and modify files and content on the device where it is installed, and to interact with the browser and web content on that device, to the extent necessary to complete user-requested tasks. Eco does not require the user to grant granular permission for each individual action during normal operation.

2.3 Incidental Access & Sensitive Data

Eco may intentionally or unintentionally access, process, or transmit data beyond the specific items you referenced. This can include file contents, filenames, metadata, screenshots, OCR results, parsed text, or other extracted information. Such information may be used as context or parameters for external models (see Section 4). You understand and accept that sensitive data could be accessed, processed, or transmitted during normal operation.

2.4 Automatic Data Processing & External Transmission

IMPORTANT: To function autonomously, Eco does not request permission before each individual action. When you enable Eco and provide a task, you authorize Eco to:

  • Access any files, folders, or content necessary to complete the task
  • Extract text, images, or data from your device via OCR, parsing, or other tools
  • Transmit extracted content, file paths, metadata, or contextual information to external AI models (currently OpenRouter)
  • Make judgments about what data is relevant to your goal

THIS MEANS SENSITIVE INFORMATION (passwords, personal documents, financial data, private communications) MAY BE ACCESSED AND TRANSMITTED TO EXTERNAL AI SERVICES if Eco determines it is relevant to completing your request.

You should not use Eco in environments containing highly sensitive data, or you should explicitly exclude sensitive directories/files from Eco's scope if such functionality is available.

3. Scope of Actions & Risks

3.1 Typical Capabilities

Eco's capabilities include, but are not limited to:

  • Reading, creating, renaming, moving, copying, and deleting files (deletions go to Trash/Recycle Bin where supported).
  • Navigating directories and inspecting file metadata and contents.
  • Extracting text via OCR, parsing documents, and running embedded code to transform data.
  • Interacting with browsers and web pages to extract content or perform actions.
  • Using embedded tools and external models (LLM/VLM) to plan and execute multi-step actions.

3.2 Known Risks & Possible Harms

Because Eco operates at a system and browser level and uses adaptive automation, its use carries inherent and non-exhaustive risks, including:

  • Accidental deletion, modification, or corruption of files or directories (some deletions may be recoverable via Trash/Recycle Bin; restoration is not guaranteed).
  • Partial failures during multi-step operations that may leave files or data in an inconsistent state.
  • Exposure or transmission of sensitive information to embedded or external models during task execution.
  • System instability or application crashes caused by Eco's actions or interactions.
  • Unauthorized use or misuse by authorized or unauthorized persons after installation.
  • Unintended interactions with browser content or web accounts that may modify remote data.

3.3 Reversibility & User Backups

Eco may include built-in safety measures such as moving deleted items to Trash/Recycle Bin and a limited "revert" workflow for recent actions. These are not guarantees of full recovery. You are responsible for maintaining independent backups of all important data. The Developer is not responsible for restoring files or data lost or damaged by Eco.

4. External Services, Models & Dependencies

4.1 Use of External Models (OpenRouter)

Eco may send prompts, extracted text, metadata, or other contextual inputs to external models (currently OpenRouter) to interpret goals, plan multi-step actions, and generate tool parameters. These external services are independent third parties and are outside the Developer's control.

4.2 Impact of Downtime or Changes

Downtime, rate limits, model changes, or behavior changes in external services such as OpenRouter can alter Eco's behavior, lead to task failure, or change the path used to accomplish tasks. The Developer is not responsible for interruptions, degraded performance, or incorrect outcomes caused by external services.

4.3 Embedded Tools & OCR

Eco includes embedded tooling (OCR, VLM interfaces, parsers, command runners). While embedded tools may reduce the need to transmit data externally, Eco may still transmit data to external models when necessary. The Developer is not responsible for accuracy or safety of third-party models, nor for data handled by them.

5. Subscription, Billing & Price Changes

5.1 Subscription Terms

Eco is offered under a monthly license for $30 USD per user per month. Billing and subscription management are provided via Polar.sh. Subscriptions automatically renew each billing cycle unless you cancel prior to the next renewal.

5.2 No Trial / No Refunds

Eco does not include a free trial. All sales are final. There are no refunds, credits, or prorated charges for partial billing cycles unless otherwise required by applicable law.

5.3 Price Changes & Existing Subscriptions

The Developer reserves the right to change subscription pricing at any time. Price changes will apply to:

  • All new subscriptions immediately
  • Existing subscriptions: the new price will apply only if the Developer manually updates your individual subscription

By default, existing active subscriptions will continue at their original price until: (a) the Developer manually changes your subscription price, or (b) you cancel and resubscribe.

The Developer will provide at least 30 days' notice before manually updating the price of an existing subscription. You may cancel before the price change takes effect to avoid the new price.

5.4 Billing Provider Limitations

Because billing is processed by Polar.sh, the Developer is reliant on Polar's platform behavior for subscription changes, upgrades, downgrades, cancellations, and billing cycles. Any questions about invoices or payment failures should be directed to Polar support or the Developer as appropriate.

6. Account, Installation & Environment

6.1 Installation & Permissions

Eco may require administrative permissions or elevated privileges to perform certain actions. The user is responsible for ensuring Eco is installed on devices they own or are authorized to control. Using Eco on devices you are not authorized to control is strictly prohibited.

6.2 Running Mode

Eco is designed to run as a toggled process: enable, provide a task, Eco acts, then Eco ends. It may run in the background when enabled and appear in the system or development environment while active. The Developer may update Eco's behavior or runtime model over time.

6.3 Responsibility for Environment

You are solely responsible for the environment where Eco is installed, for providing adequate backups, and for protecting access to your device. The Developer is not responsible for actions taken by Eco on devices you fail to secure or maintain.

7. Acceptable Use & Prohibited Conduct

7.1 Acceptable Use

You agree to use Eco only on devices you own or are authorized to control, and only for lawful purposes. You are responsible for any commands you issue and their consequences.

7.2 Prohibited Conduct

Prohibited uses include, but are not limited to:

  • Using Eco to access or modify devices, systems, or data for which you do not have authorization;
  • Deploying Eco to perform malicious activities or to evade security controls;
  • Attempting to remove or disable safety features or to reverse engineer Eco for illicit purposes;
  • Using Eco to infringe the rights of others or to engage in unlawful surveillance or data exfiltration.

8. Termination

8.1 Termination by User

You may cancel your subscription at any time through your Polar customer portal or account dashboard. Cancellation prevents future billing but does not result in refunds for the current billing period. You should uninstall Eco from your device(s) when you no longer wish to use it.

8.2 Termination by Developer

The Developer may suspend or terminate your access immediately if you violate these terms, use Eco maliciously, or engage in conduct that could harm other users or the Developer. The Developer may also discontinue Eco or individual features at any time.

9. Warranty Disclaimer

9.1 "As Is" Software

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE DEVELOPER DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

9.2 No Guarantee of Results

The Developer does not guarantee that Eco will perform as expected, that tasks will be completed successfully, or that Eco will not cause loss or damage to files, systems, or data.

10. Limitation of Liability

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO ECO OR THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR ECO IN THE THREE (3) MONTHS PRECEDING THE CLAIM, WITH A MAXIMUM AGGREGATE CAP OF $500 USD.

10.2 Excluded Damages

IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, BUSINESS INTERRUPTION, OR ANY DAMAGES ARISING FROM THIRD-PARTY SERVICES (INCLUDING EXTERNAL MODELS) EVEN IF THE DEVELOPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless the Developer from any third-party claims, damages, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your use of Eco on systems you don't own or control
  • Your use of Eco for unlawful purposes
  • Your violation of any third-party rights

This indemnification does not apply to claims arising solely from the Developer's gross negligence or intentional misconduct.

12. Dispute Resolution; Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of laws principles.

12.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or Eco shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules and conducted in Delaware or remotely via videoconference.

The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

Notwithstanding the above, the Developer reserves the right to pursue claims in small claims court or to seek equitable relief (injunction) in any court of competent jurisdiction.

12.3 Class Action Waiver

To the fullest extent permitted by law, you and the Developer each waive any right to a jury trial and to participate in a class action or representative proceeding.

13. Modifications to the Service and These Terms

13.1 Product Changes

Eco is an evolving product. The Developer may add, modify, or remove features, change tool behavior, improve security, or otherwise alter Eco at any time. Users accept that Eco's capabilities may change substantially over time.

13.2 Changes to Terms

The Developer may modify these Terms by posting updated terms. Material changes will be communicated when reasonably possible (for example, via the email address on file). Continued use of Eco after changes are posted constitutes acceptance of the updated Terms.

14. Privacy & Data Processing

14.1 Data Collected

Eco collects only the data necessary to provide the service: licensing and subscription identifiers, limited usage telemetry (if enabled), and any content the user authorizes Eco to access during task execution. Eco may also collect logs of actions taken for debugging and safety analysis.

14.2 Data Transmission & External Processing

To the extent necessary to complete tasks, Eco may transmit extracted text, metadata, or other contextual inputs to external models (e.g., OpenRouter) or to licensing/billing services (Polar.sh). Such transfers may involve cross-border processing. By using Eco, you consent to such transfers.

14.3 No Sale of Personal Data

The Developer does not sell personal data to third parties.

14.4 Data Retention & Deletion

Data is retained only as long as necessary to provide the service, comply with legal obligations, or for safety/abuse investigation. Upon account termination data associated with your account will be deleted within a reasonable period except as required by law.

15. Security

The Developer takes reasonable steps to protect Eco and related systems. However, no system is completely secure. You are responsible for securing your device, maintaining backups, and controlling access to Eco. The Developer is not responsible for breaches or losses resulting from your failure to follow security best practices.

16. Miscellaneous

16.1 Entire Agreement

These Terms constitute the entire agreement between you and the Developer with respect to Eco and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 No Waiver

The Developer's failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

16.4 Force Majeure

The Developer shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials, or failure of third-party services including external AI model providers.

By installing or using Eco you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, and that you accept the risks associated with Eco's experimental and adaptive behavior, including the automatic processing and external transmission of data as described in Section 2.4.
